Terms of Service

Welcome to NeuStage. These Terms of Service ("Terms") govern your access to and use of the NeuStage platform, website, and related services (collectively, the "Service") provided by NeuStage ("we", "our", or "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using NeuStage, you confirm that you are at least 16 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and "you" refers to that organisation.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or an in-app notification at least 14 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

2. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes. This licence does not include the right to:

• Modify, copy, or create derivative works based on the Service or its underlying technology.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Sublicence, lease, sell, or redistribute the Service to third parties.
• Remove or alter any proprietary notices, labels, or trademarks on the Service.
• Use the Service to build a competing product or service.

3. User Accounts

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security and confidentiality of your login credentials.
• Promptly notify us of any unauthorised use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or remain inactive for an extended period, with prior notice where practicable.

4. Subscriptions & Payments

NeuStage offers free and paid subscription plans. By selecting a paid plan, you agree to the following:

• Billing occurs on a recurring basis (monthly or annual) depending on the plan selected.
• All fees are quoted in USD and are non-refundable except as required by law or stated in our Refund Policy.
• You authorise us (via our payment processor, Stripe) to charge your payment method for recurring fees.
• We may change pricing with at least 30 days' prior notice. Price changes apply at the start of the next billing cycle.
• Failure to pay may result in suspension or downgrade of your account.

5. Content Ownership

5.1 Your Content

You retain all ownership rights to the content you create, upload, or publish through the Service ("Your Content"). By using the Service, you grant NeuStage a limited, worldwide, non-exclusive licence to host, store, display, reproduce, and process Your Content solely for the purpose of providing and improving the Service. This licence terminates when you delete Your Content or your account.

5.2 Our Content

The Service - including its design, source code, algorithms, AI models, branding, documentation, and all intellectual property - is and remains the exclusive property of NeuStage. Nothing in these Terms grants you ownership of the Service or any rights beyond the limited licence described in Section 2.

5.3 AI-Generated Content

NeuStage offers AI-powered content suggestions. You are solely responsible for reviewing and approving AI-generated content before publishing. We make no guarantees regarding the accuracy, originality, or legal compliance of AI outputs. You own the final published content.

6. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload or distribute malware, viruses, or any harmful code.
• Engage in spamming, phishing, or distributing unsolicited messages through connected social accounts.
• Scrape, crawl, or use automated tools to extract data from the Service without written permission.
• Impersonate another person, entity, or NeuStage representative.
• Circumvent security measures, rate limits, or access controls.
• Use the Service to generate content that is defamatory, obscene, or promotes violence or discrimination.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Resell, redistribute, or white-label the Service without a separate written agreement.

Violation of these prohibitions may result in immediate suspension or termination of your account without prior notice.

7. Third-Party Integrations

The Service allows you to connect third-party social media platforms (e.g., Instagram, X/Twitter, LinkedIn, Facebook, TikTok). Your use of these integrations is subject to the respective platform's terms of service and privacy policy. NeuStage is not responsible for:

• Changes to third-party APIs that may affect functionality or availability.
• Content moderation decisions made by third-party platforms.
• Data handling practices of connected platforms beyond our control.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEUSTAGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities.
• Cost of procurement of substitute services.
• Service interruptions, downtime, or data loss.
• Unauthorised access to or alteration of your data.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Indemnification

You agree to indemnify, defend, and hold harmless NeuStage and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service or violation of these Terms.
• Your Content or any content published through your connected accounts.
• Your violation of any third-party rights, including intellectual property rights.

10. Termination

You may terminate your account at any time through your account settings or by contacting us. Upon termination:

• Your right to access the Service ceases immediately.
• We will delete or anonymise your data within 30 days, except where retention is required by law.
• Any outstanding fees for the current billing period remain due and are non-refundable.
• Provisions of these Terms that by their nature should survive (including Sections 5, 8, 9, and 12) will continue in effect.

We may suspend or terminate your access to the Service at any time for cause, including violation of these Terms, with notice where practicable. In the event of termination for cause, no refund will be issued.

11. Dispute Resolution

We encourage you to contact us first at legal@neustage.com to resolve any dispute informally. If a dispute cannot be resolved within 30 days, it shall be settled by binding arbitration in accordance with the rules of the applicable arbitration body in the jurisdiction specified in Section 12, rather than in court.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against NeuStage, to the extent permitted by applicable law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes not subject to arbitration shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

13. Miscellaneous

• Entire Agreement - These Terms, together with our Privacy Policy, constitute the entire agreement between you and NeuStage.
• Severability - If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver - Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment - You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
• Force Majeure - NeuStage shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, pandemics, or internet outages.
